1. Introduction

Welcome to psdigital.io ("Website"), operated by PS Digital ("we", "us", "our"). By accessing or using our Website and services, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please do not use our Website or services.

2. Services

PS Digital provides digital marketing consulting and execution services including but not limited to:

  • Search Engine Optimization (SEO) — technical, on-page, and off-page
  • Performance Marketing — Google Ads and Meta Ads management
  • Digital Marketing Consulting — audits, strategy, and roadmaps
  • Analytics and Measurement setup

The specific scope, deliverables, timelines, and fees for any engagement will be defined in a separate Statement of Work (SOW) or proposal agreed upon by both parties before work begins.

3. Engagement & Payment Terms

All engagements begin only after a signed SOW or written confirmation via email. Payment terms, including amounts, schedules, and methods, will be outlined in the SOW. Unless otherwise stated:

  • Invoices are due within 15 days of issue
  • Late payments may incur a hold on active work until the balance is cleared
  • All fees are exclusive of applicable taxes (GST)

4. Client Responsibilities

To enable effective delivery of our services, clients agree to:

  • Provide timely access to necessary accounts, platforms, and data
  • Designate a point of contact for communication and approvals
  • Review and provide feedback on deliverables within agreed timelines
  • Ensure that all materials provided to us do not infringe upon third-party rights

5. Intellectual Property

All deliverables created during an engagement (strategies, reports, creative assets, code) become the property of the client upon full payment. PS Digital retains the right to use anonymized results and general methodologies for portfolio, case studies, and marketing purposes unless explicitly restricted in the SOW.

6. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This includes business data, strategies, analytics, credentials, and any materials marked as confidential. This obligation survives the termination of the engagement.

7. No Guaranteed Results

While we employ industry best practices and data-driven strategies, digital marketing outcomes are influenced by many external factors including search engine algorithms, market conditions, competitive landscape, and platform policies. We do not guarantee specific rankings, traffic numbers, conversion rates, or revenue outcomes.

8. Third-Party Platforms

Our services may involve the use of third-party platforms (Google Ads, Meta Business Suite, Google Analytics, etc.). We are not responsible for changes to these platforms' policies, features, pricing, or availability. Any ad spend, platform fees, or third-party tool costs are the client's responsibility unless explicitly included in the SOW.

9. Termination

Either party may terminate an engagement with 30 days' written notice unless otherwise specified in the SOW. Upon termination:

  • The client will pay for all work completed up to the termination date
  • PS Digital will hand over all deliverables and provide account access as applicable
  • Any pre-paid retainer fees for undelivered work will be refunded on a pro-rata basis

10. Limitation of Liability

PS Digital's total liability for any claim arising from our services shall not exceed the fees paid by the client for the specific engagement in question. We are not liable for indirect, incidental, or consequential damages including lost profits, lost data, or business interruption.

11. Indemnification

The client agrees to indemnify and hold PS Digital harmless from any claims, damages, or expenses arising from materials, content, or instructions provided by the client, or from the client's use of deliverables in a manner not recommended by PS Digital.

12. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.

13. Changes to These Terms

We reserve the right to update these Terms & Conditions at any time. Changes will be posted on this page with an updated date. Continued use of our Website or services after changes constitutes acceptance of the revised terms.
